The contract that applies to every order: quotation validity, deposit and balance schedule, title transfer and liability limits.

이 페이지는 현재 영어로만 제공됩니다. 차이가 있는 경우 영어 버전이 우선합니다.

1. Scope and how a contract is formed

This page sets out the terms that apply to sales of mining hardware and related equipment by our company ("we", "us"). It applies to the exclusion of any terms you may seek to impose, unless we have accepted those terms in writing.

A contract is formed when we confirm your order in writing (the "Order Confirmation"). Quotations, price lists and stock listings are invitations to treat, not offers, and remain subject to availability.

2. Specifications, prices and quotation validity

Prices are quoted in US dollars unless stated otherwise, and exclude any duties, taxes or clearance charges at destination unless the quotation expressly includes them (for example where DDP terms are stated).

Each quotation states its own validity window. If none is stated, the quotation lapses after 7 calendar days. Mining hardware prices move with the market: after a quotation lapses we may re-quote at the prevailing price, and we are not obliged to honour the earlier figure.

Hashrate, power consumption and efficiency figures are the manufacturer's published specifications. Realised performance depends on firmware, ambient conditions, pool configuration and the algorithm mined, and will vary.

3. Payment, deposit and balance

The deposit and balance schedule for your order is stated in the Order Confirmation. Unless the Order Confirmation says otherwise, production, allocation or dispatch begins only once the deposit has cleared in our account.

We accept payment by bank transfer. Where we accept settlement in digital assets (for example USDT), the settlement amount is fixed at the moment the transfer is confirmed on-chain; network fees are borne by the payer.

If a scheduled payment is not received by its due date, we may suspend the order, release the allocated units to other buyers, or treat the order as cancelled under section 5.

4. Delivery, title and risk

Delivery terms follow the Incoterms stated in the Order Confirmation. Where no Incoterm is stated, the goods are sold FOB the port of loading in China.

Risk of loss or damage passes in accordance with the stated Incoterm. Title to the goods passes only when we have received payment in full in cleared funds.

Dispatch windows are estimates given in good faith and are not guaranteed delivery dates. Delays caused by manufacturers, carriers, customs authorities or any event outside our reasonable control do not constitute a breach of contract.

5. Cancellation by either party

Cancellation before dispatch: you may cancel in writing before your order is dispatched. If we have not yet allocated or paid for the units, the deposit is refunded in full less any bank or network charges actually incurred. If the units have been allocated or paid for upstream, the deposit is refunded less the costs we cannot recover.

Cancellation after dispatch: once the goods have left our warehouse, the order cannot be cancelled unilaterally. Return options are governed by the Refund and after-sales page.

Cancellation by us: we may cancel and refund amounts received where the order cannot lawfully be fulfilled (see Restricted regions), where a payment fails sanctions or anti-money-laundering screening, or where the goods become unavailable despite reasonable efforts to source them.

6. Inspection, acceptance and claims

You are responsible for inspecting the goods on arrival. Damage or shortage apparent on delivery must be noted on the carrier's delivery document and reported to us promptly, so that we can raise a carrier claim within the carrier's own time limits.

Functionality claims are handled under the Warranty terms page.

7. Liability

Our total liability arising out of or in connection with an order is limited to the amount actually paid to us for the goods giving rise to the claim.

We are not liable for indirect or consequential loss, including loss of profit, loss of mining rewards, loss of data, downtime, or losses arising from price movements in any digital asset. Mining is a capital purchase with no guaranteed return, and we make no representation about profitability, payback period or resale value.

Nothing in these terms excludes liability that cannot lawfully be excluded.

8. Governing law and language

These terms are governed by the laws of the People's Republic of China. The parties submit to the exclusive jurisdiction of the courts at the place of our registration in the People's Republic of China, without prejudice to any right to seek interim relief elsewhere.

The English version of these terms prevails over any translation. Where a Chinese translation is provided, it is for convenience only.
